An impending mega-merger between Mukesh Ambani’s Reliance and Walt Disney Co. is poised to redefine India’s entertainment and streaming space, potentially uniting Jio Cinema and Disney+ Hotstar into a singular powerhouse in the OTT industry.

A non-binding agreement has been inked between Reliance Industries Limited (RIL) and Walt Disney Co., a significant step toward merging RIL and Disney Star, setting the stage for an unprecedented shift in the OTT landscape in India.

The amalgamation is anticipated to consolidate Jio Cinema and Disney+ Hotstar, erstwhile rivals, into a unified entity, presenting a paradigm shift within India’s burgeoning OTT industry. This strategic move is slated for finalization by February 2024, positioning Ambani’s conglomerate to wield greater influence over the amalgamated entity, with an envisaged stake distribution of 51% for Reliance and 49% for Disney, according to preliminary outlines of the agreement.

This amalgamation is poised to mark India’s most substantial entertainment merger to date, with the entities jointly raising $1.5 billion for the integration, while Reliance is poised to secure a more commanding stake in the consolidated entity.

Envisioning the Jio Cinema-Disney+ Hotstar OTT Potential:

Notably, both Jio Cinema and Disney+ Hotstar have vied intensely for coveted broadcasting rights, including the IPL and international cricket tournaments. A prospective merger hints at a potential cessation of this competitive bidding battle. Following Reliance’s anticipated control over Star India channels, Star may retain cricket rights for television, while OTT rights might pivot towards the merged Jio-Disney platform.

The consolidation between Jio Cinema and Disney+ Hotstar is poised to birth India’s most formidable OTT platform, wielding dominion over cricket and football streaming rights and boasting access to premium HBO and WB content. This union could be a transformative move, rescuing Hotstar from its recent financial struggles and positioning it as a frontrunner.

The news of the Reliance-Disney merger has prompted a mass migration of users from Hotstar, which has grappled with losses, especially after losing the IPL rights and HBO partnership in previous years.
